Visual Spark Studio™ GPT Tool Licensing AgreementIssued by Smashing Limiting Beliefs (DBA of Holistic Journeys)

1. Agreement Overview

This Licensing Agreement (“Agreement”) governs the use of GPT-based digital tools, prompts, and associated content (“GPT Tools”) developed and distributed by Smashing Limiting Beliefs (DBA of Holistic Journeys), an entity registered under the laws of Iowa (“Licensor”). By purchasing, accessing, or using the GPT Tools via the OpenAI platform, BertieVerse ecosystem, or any affiliated platform, you (“Licensee”) agree to be bound by the terms herein.

2. Grant of License

Licensor hereby grants Licensee a non-exclusive, non-transferable, revocable license to use the GPT Tools for personal and commercial use, subject to the limitations set forth in this Agreement.

3. Authorized Uses

Licensee may:

Use the GPT Tools for personal development, client interaction, and commercial services.

Integrate GPT outputs into original work products or services delivered to clients or audiences.

4. Restrictions

Licensee may not:

Sell, sublicense, or redistribute the GPT Tools as-is or in any derivative form.

Modify, reverse-engineer, or alter the GPT Tools for commercial redistribution.

Use the GPT Tools to create derivatives intended for resale unless such outputs (e.g., formulas or frameworks) are independently tested and verified.

Misrepresent the GPT Tools as their own intellectual property.

5. Compensation, Refunds & Ownership

This license is non-royalty bearing. Licensee shall not receive any revenue share or compensation from Licensor.

All sales are final. Due to the digital nature of the products, no refunds will be issued. All rights, title, and interest in the GPT Tools remain with Licensor.

6. Term and Termination

Perpetual License: If GPT Tools are purchased as standalone products, the license is perpetual unless terminated for breach.

Conditional License: If accessed via a subscription or membership, the license is valid only during the active subscription. Cancellation terminates license rights.

Licensor reserves the right to revoke access for any breach of this Agreement.

7. Platform Limitation

This license applies only to tools accessed via OpenAI, ChatGPT, and BertieVerse. Use outside these platforms requires written consent from Licensor.

8. Intellectual Property

All GPT logic, prompt structures, language sequences, and related content remain the sole intellectual property of Licensor. Licensee may not claim or republish any part of the tools as their own.

9. Exclusivity and Non-Competition

Licensee may not rebrand, replicate, or use the GPT Tools to create competitive services or tools. Licensee may not clone or repackage the tools for commercial purposes.

10. Supplementary Products

Any optional workbooks, templates, guides, or other upsells provided are governed by the same licensing terms. These may not be altered, redistributed, or repackaged.

11. Legal Disclaimers

The GPT Tools are provided for informational and educational purposes only. They do not constitute medical, legal, financial, or therapeutic advice. Licensee assumes all responsibility for outcomes resulting from tool usage.

12. Governing Law

This Agreement shall be governed by the laws of the State of Iowa without regard to its conflict of laws principles.

13. Acceptance & Enforcement

By purchasing, downloading, or using the GPT Tools, Licensee acknowledges and agrees to these terms. Digital confirmation (checkbox or clickwrap) constitutes legally binding acceptance.
